Acceptance of These Terms
Welcome to Calmo ("Calmo", "we", "us", or "our"), a personal email intelligence platform operated by Banacare, LLC, a limited liability company with its principal place of business in San Francisco, California, United States.
These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Banacare, LLC governing your access to and use of the Calmo website, web application, browser extensions, mobile applications, APIs, and all related services, features, and content (collectively, the "Service").
By creating an account, connecting your email provider, accessing the Service, or clicking "I Agree" or similar acceptance mechanisms, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
These Terms apply to all users worldwide. Users located in the European Union, European Economic Area, United Kingdom, Switzerland, or California have additional rights under applicable data protection and consumer laws, which are preserved and not limited by these Terms.
Definitions
For purposes of these Terms, the following capitalized terms have these meanings:
Eligibility & Account Registration
Age Requirement. You must be at least 18 years of age, or the age of majority in your jurisdiction if higher, to create an account and use the Service.
Account Creation. To access most features, you must register for an account with accurate, current, and complete information, including a valid email address and payment method for paid subscriptions.
One Account Per User. You may maintain only one active account. Accounts may not be shared, transferred, or sold.
Corporate Use. The Service is designed and licensed for personal, individual use only. For business, team, or enterprise use, contact us for a separate Enterprise Agreement.
Account Security. You are responsible for maintaining the confidentiality of account credentials and must notify us immediately at security@calmo.email of unauthorized use or suspected breach.
Description of the Service
Calmo provides a personal email intelligence platform that helps individuals reduce inbox overload, focus on actionable communications, and save time through intelligent automation while preserving personal voice and control.
Key Features include:
- Smart Prioritization: AI classifies incoming emails into categories such as Important, Action Needed, FYI, Newsletter, and Low-Priority.
- Daily Digest: Each morning, or at your chosen time, you receive a concise AI-curated summary of emails that require attention.
- Personalized Quick Replies: AI generates context-aware reply drafts that mimic your writing style while leaving you in full editorial control.
- Smart Mass Unsubscribe: The Service suggests newsletters and promotional senders you are unlikely to read, subject to your approval.
- Time-Saved Analytics: Pro users receive a weekly dashboard showing estimated minutes saved, streaks, and productivity insights.
- Cross-Platform Support: Calmo is optimized for Gmail, with Outlook and Microsoft 365 support available on the Pro plan.
Connecting Your Email Account
To use the Service, you must authorize Calmo to access your email account through secure OAuth 2.0 protocols provided by Google or Microsoft. We never request or store your email password.
Permissions Requested:
- Read and modify email messages to apply labels, archive, and move messages based on your instructions.
- Send emails on your behalf only when you explicitly approve a generated reply.
- Access basic profile information to personalize the experience.
- View and manage contacts for reply suggestions and unsubscribe matching.
You may revoke permissions at any time through Google Account or Microsoft Account security settings. Doing so disables the Service until re-authorization.
Important: Calmo operates as a limited use application under Google API Services User Data Policy and Microsoft equivalent policies.
User Content & Data Processing
Ownership. You retain all ownership rights in your Email Content and any replies, drafts, or other materials you create or send using the Service.
License Grant. By connecting your email account and using the Service, you grant Banacare, LLC and its service providers a worldwide, non-exclusive, royalty-free license to access, process, copy, store, transmit, display, and analyze Your Content solely as necessary to:
- Deliver core Service features such as prioritization, Digest, reply suggestions, and unsubscribe recommendations.
- Improve accuracy using only aggregated, anonymized, and de-identified data unless you explicitly opt in.
- Detect and prevent fraud, spam, abuse, and security incidents.
- Comply with legal obligations and enforce these Terms.
AI Processing & Third-Party LLMs. Certain AI Features require sending limited Email Content to Third-Party LLM Providers under Data Processing Agreements that prohibit model training on your data, require deletion after processing where feasible, mandate encryption, and require compliance with GDPR, CCPA, and SOC 2 standards.
We currently use Groq, Google Gemini Flash, and Anthropic Claude Haiku. A current list of subprocessors is maintained in our Privacy Policy and Subprocessor List at calmo.email/legal/subprocessors.
Data Retention. We retain Processed Emails and related metadata for a maximum of 45 days after processing unless you request longer retention or deletion. You may request deletion via the app or by emailing privacy@calmo.email.
AI Features & Disclaimers
Calmo uses advanced artificial intelligence to provide helpful suggestions and automation. AI has inherent limitations, including the possibility of errors, hallucinations, biases, or inappropriate outputs.
All AI-generated content is provided "AS IS" for convenience only. You are solely responsible for reviewing, editing, and approving every action before it is executed. Calmo has no liability for consequences arising from reliance on AI suggestions, including missed emails, incorrect reply language, unintended unsubscribes, lost opportunities, or other damages.
We make no warranty that AI will achieve any specific accuracy level, that your inbox will reach any particular state, or that you will save any specific amount of time.
Personal Tone Profile. Reply suggestions learn from past approved replies and connected email history. You may reset or disable the profile in Settings.
Subscription Plans & Billing
Calmo aims to keep pricing fair, transparent, and aligned with the value users receive. Rather than locking these Terms to fixed price points, our subscription options may evolve over time based on product capabilities, infrastructure costs, AI model pricing, market conditions, and what allows us to provide a dependable service at a reasonable cost.
Billing & Payment. Subscriptions may be offered monthly, annually, or through other billing arrangements we make available. We use Stripe or another trusted payment processor. By providing a payment method and confirming a paid plan, you authorize us to charge the applicable fees and taxes until you cancel.
If pricing changes, we will communicate material changes in advance and give you a clear opportunity to review the new terms before they affect your renewal. If a change does not work for you, you may cancel before the new rate takes effect.
Cancellations, Refunds & Trials
Free Trial. New users receive a 7-day free trial. No charges are made during the trial period unless disclosed during checkout.
Cancellation. You may cancel your subscription at any time in account settings or by emailing support@calmo.email. Cancellation takes effect at the end of the current billing period.
Refunds. Except as required by applicable consumer protection laws, all fees are non-refundable and no prorated refunds are issued for mid-cycle cancellations.
EU / UK Users: You may have the right to withdraw from this contract within 14 days without giving a reason. If you have already started using the Service, we may deduct a reasonable amount for services provided.
Prohibited Conduct
You agree not to use the Service in any manner that:
- Violates any applicable law, regulation, or third-party right.
- Is fraudulent, deceptive, or intended to mislead recipients.
- Constitutes spam, unsolicited bulk email, or phishing.
- Attempts to reverse engineer, decompile, disassemble, or discover source code, algorithms, or model structure.
- Interferes with the integrity, performance, or security of the Service or third-party systems.
- Generates or distributes illegal, harmful, abusive, defamatory, obscene, or objectionable content.
- Shares account credentials or allows third-party account access.
- Uses automated scripts, bots, or scrapers beyond normal human usage patterns.
- Processes email accounts you do not own or have explicit authorization to manage.
Violation of this section may result in immediate termination and may subject you to civil or criminal liability.
Intellectual Property Rights
Our Intellectual Property. The Service, including software, algorithms, AI models, user interfaces, designs, logos, trademarks, text, graphics, and documentation, remains the exclusive property of Banacare, LLC and its licensors.
Your Content. You retain ownership of Your Content. You represent and warrant that you have all necessary rights to grant the license described in these Terms.
Feedback. If you provide feedback, suggestions, or ideas, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate it.
Privacy, Data Protection & Security
Your privacy is fundamental to Calmo. The Service is designed with privacy-by-design and privacy-by-default principles.
Privacy Policy. Our collection, use, and disclosure of personal data is governed by our Privacy Policy at calmo.email/privacy.
GDPR & Data Protection. For users in the EU, EEA, UK, or Switzerland, we act as a Data Processor for Email Content when providing the Service. You may exercise data rights by contacting privacy@calmo.email.
CCPA / CPRA. California residents have rights to know, delete, and opt-out of any sale of personal information. We do not sell personal information as defined by CCPA.
Security Measures. We implement encryption in transit and at rest, regular security testing, access controls, and organizational safeguards. No system is 100% secure.
Data Residency. By default, data is stored in the United States. EU users may request EU data residency by contacting support.
Representations & Warranties
You represent and warrant that:
- You have legal capacity and authority to enter into these Terms.
- All information you provide is accurate, current, and complete.
- You own or have necessary rights to Email Content connected to the Service.
- Your use will not violate law, regulation, or third-party agreement.
- You will not use the Service for illegal or unauthorized purposes.
We represent and warrant that we will provide the Service using reasonable skill and care consistent with industry standards and comply with applicable laws.
Disclaimers of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
WE DO NOT WARRANT THAT:
- The Service will be uninterrupted, error-free, or secure.
- AI-generated content, prioritization, or recommendations will be accurate or complete.
- Your inbox will reach or remain at any specific state.
- You will save a specific amount of time or achieve a particular productivity outcome.
- The Service will meet every requirement or expectation.
Some jurisdictions do not allow exclusion of certain warranties. In those jurisdictions, exclusions apply only to the maximum extent permitted by law.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALMO, INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED FEES PAID BY YOU DURING THE TWELVE MONTHS BEFORE THE CLAIM, OR $100 IF YOU HAVE NOT PAID FEES.
These limitations do not apply to liability from gross negligence, willful misconduct, fraud, or death or personal injury caused by negligence where limitation is prohibited by law.
Indemnification
You agree to indemnify, defend, and hold harmless Banacare, LLC and its officers, directors, employees, agents, affiliates, and licensors from claims, damages, losses, liabilities, costs, and expenses arising out of:
- Your use or misuse of the Service.
- Your violation of these Terms or applicable law.
- Your Content or email sent using the Service.
- Claims that your use infringes third-party rights.
- Disputes between you and recipients of email sent via the Service.
We reserve the right to assume exclusive defense and control of matters subject to indemnification, in which case you agree to cooperate fully.
Termination
By You. You may terminate these Terms and your account at any time by deleting your account or contacting support@calmo.email.
By Us. We may suspend or terminate access if you breach these Terms, pose risk to the Service or third parties, engage in fraudulent or illegal activity, if required by law, or if we discontinue the Service.
Upon termination, all licenses granted to you cease. Sections that by their nature should survive termination will survive.
Governing Law & Dispute Resolution
Governing Law. These Terms and related disputes are governed by the laws of the State of Delaware, United States, without regard to conflict of laws principles.
Mandatory Consumer Rights. Nothing in these Terms limits rights under mandatory consumer protection laws.
Dispute Resolution. Disputes will first be attempted through good-faith negotiation. If unresolved, disputes will be submitted to binding arbitration administered by the American Arbitration Association in San Francisco, California, in English before a single arbitrator.
Class Action Waiver. YOU AND CALMO AGREE THAT DISPUTES WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
Small Claims. Either party may bring qualifying individual claims in small claims court.
EU Users. EU consumers may also bring proceedings in the courts of their country of residence and use the European Commission Online Dispute Resolution platform.
Modifications to Terms
We may modify these Terms at any time. Material changes will be communicated via email and/or prominent in-app notification at least 30 days before they take effect.
The Last Updated date reflects the most recent changes. Continued use after the effective date of modifications constitutes acceptance of the updated Terms.
Miscellaneous Provisions
Entire Agreement. These Terms, together with the Privacy Policy and incorporated agreements, constitute the entire agreement between you and Banacare, LLC.
Severability. If any provision is invalid or unenforceable, it will be modified to the minimum extent necessary, and remaining provisions continue in effect.
Waiver. Failure to enforce a right or provision is not a waiver. Any waiver must be in writing and signed by an authorized representative.
Assignment. You may not assign these Terms without consent. We may assign these Terms and related rights and obligations.
Force Majeure. We are not liable for failure or delay due to circumstances beyond reasonable control, including disasters, war, civil unrest, labor shortages, or failures of third-party infrastructure.
Export Compliance. You agree to comply with applicable export and import laws and regulations.
Relationship of the Parties. These Terms do not create a partnership, joint venture, agency, or employment relationship.
